RESIGNATIONS OF THREE DIRECTORS

Needham, MA, June 6, 2000 – CareMatrix Corporation (NASDAQ: CMDCE), a fully integrated assisted living company announced today that three of its Directors, Donald J. Amaral, Rev. Bedros Baharian and Stephen E. Ronai resigned as members of the Board of Directors of the Company.

            The Company has begun the process of identifying new directors to fill the vacancies created by these resignations.
